12.3 Skills and prompts. The Customer may copy, adapt and use the skills, prompts and templates in the Program Materials within its own business, including in AI tools and agents it uses internally. This licence continues after the Access Period ends for skills, prompts and templates the Customer has already incorporated into its business.
12.4 The Customer must not, and must not permit any other person to:
- (a) sell, resell, license, share, distribute or publish any Program Materials, including the skills and prompts library, whether in original or adapted form;
- (b) record, download, screenshot or copy any Program Materials or Weekly Calls, except as expressly permitted by these Terms or by a download function on the Platform;
- (c) use any Program Materials to create, teach or market a course, workshop, coaching program or other product or service that competes with the Program;
- (d) use any Program Materials to train, fine-tune or develop any AI model, other than use of the skills and prompts in the ordinary operation of AI tools within its own business; or
- (e) remove any copyright or proprietary notices from the Program Materials.
12.5 Customer Outputs. As between the Customer and the Company, the Customer owns the Customer Outputs. To the extent any Customer Output incorporates Program Materials, that part remains owned by the Company and is licensed to the Customer under clause 12.3.
12.6 Customer Content. The Customer retains ownership of its Customer Content. The Customer grants the Company a non-exclusive, royalty-free licence to host, store, display and reproduce its Customer Content within the Platform and Weekly Call recordings for the purpose of delivering the Program. The Company will not use Customer Content in marketing or promotional material without the Customer’s prior written consent.
12.7 Feedback. If the Customer provides feedback or suggestions about the Program, the Company may use them without restriction or obligation to the Customer.
12.8 The names and logos “Your AI Workshop” and any related trade marks are owned by or licensed to the Company and may not be used without its prior written consent.

13.1 In using the Program, the Community, Direct Message Support and Weekly Calls, the Customer must:
- (a) treat Instructors, Company personnel and other participants with courtesy and respect;

14.1 The Program is general education only. It is not legal, financial, tax, accounting, cybersecurity or other professional advice. The Customer should obtain its own professional advice before acting on any matter that requires it.
14.2 The Company does not guarantee any particular business result. This includes any saving in time or cost, any increase in revenue, and the performance of any agent, workflow or website built by the Customer.
14.3 Any examples, case studies or results of other businesses presented in the Program or its marketing are illustrative only. They are not a promise that the Customer will achieve the same results.
15. Australian Consumer Law
15.1 Our services come with guarantees that cannot be excluded under the ACL.
15.2 Where the Customer is a Consumer, the Customer is entitled to the Consumer Guarantees. These include that the Program will be:
- (a) supplied with due care and skill;

15.4 If a failure to comply with a Consumer Guarantee is not a Major Failure:

15.5 The Customer may also be entitled to compensation for any other reasonably foreseeable loss or damage caused by a failure to comply with a Consumer Guarantee.
15.6 Clauses 16 to 21 are subject to clause 2.3 and this clause 15.
16. No refunds or cancellations for change of mind
16.1 The Fees are non-refundable. An enrolment may not be cancelled because the Customer has changed their mind.

- (a) the Program provides immediate access to digital content, including lessons, templates and a skills and prompt library, and for the Live Cohort Program, access to the Community;
- (b) that content cannot be returned once accessed; and
- (c) the Program is priced on the basis that change-of-mind refunds are not available.
16.3 Without limiting clause 16.1, the following do not entitle the Customer to a refund, cancellation, credit or transfer:

- (f) a Third-Party Tool changes its features, pricing or availability after enrolment;
- (g) the Customer does not achieve a particular business outcome, unless:
- (i) the Company expressly promised that outcome; or
- (ii) the Customer made known to the Company before enrolment that it required that outcome, and the Company represented that the Program would achieve it; or
- (h) the Customer is dissatisfied with the teaching style, pace or format, where that style, pace or format is consistent with the Program Description.
17. Entitlement to a refund
17.1 The Customer is entitled to a refund only if:
- (a) there has been a Material Misrepresentation and the Customer relied on it in deciding to enrol;
- (b) the Company has failed to supply the Program, or there is a Major Failure; or
- (c) the Company cancels the Program in accordance with clause 17.5.
17.2 A Material Misrepresentation is a statement in the Program Description about the Program or its content that is false or misleading in a material respect. A statement is material if a reasonable person in the Customer’s position would have regarded it as important to the decision to enrol.
17.3 Examples of a Material Misrepresentation include where:
- (a) a core weekly module or core topic described in the curriculum is not provided;
- (b) an inclusion advertised for the tier purchased is not provided at all;

- (a) a refund of the Fees paid for the part of the Program not supplied; or
- (b) a transfer to a future cohort or intake of the Program.
17.6 Where a refund is payable under clause 17.1:
- (a) the Company will refund the Fees paid, less a reasonable amount for any part of the Program supplied that was not affected by the relevant issue, unless the ACL entitles the Customer to a greater amount;
- (b) if the issue affects the Program as a whole, the Company will refund the Fees in full; and
- (c) the refund will be paid to the original payment method within 14 days of the Company’s decision.
18. Minor failures
18.1 If a failure in the Program is not a Major Failure, the Company will remedy it within a reasonable time after being notified. Examples include a defective video, a missing resource, an access issue or outdated content.
18.2 A remedy may include replacing or updating content, restoring access, or providing an equivalent resource.
18.3 A failure that is not a Major Failure does not entitle the Customer to a refund unless the Company fails or refuses to remedy it within a reasonable time.

19.3 A delay in notification does not affect the Customer’s rights under the ACL. It may be relevant to the remedy that is reasonable in the circumstances, including where the Customer has used a substantial part of the Program before notifying the Company.
19.4 The Company will:
- (a) acknowledge a claim within 2 Business Days of receipt;
- (b) provide a written decision within 10 Business Days of receipt; and
- (c) if the claim is declined, give its reasons in writing.

- (b) contact NSW Fair Trading or the consumer protection agency in the Customer’s state or territory.
20. Effect of refund

20.2 If the Customer receives a partial refund, the Customer’s access to the Program continues.
21. Chargebacks

21.3 Nothing in this clause limits the Customer’s right to dispute a charge with its financial institution.
22. Suspension and termination
